End User License Agreement

1. Agreement

This End User License Agreement (“EULA”) is the license for The Demand File and any other digital Files, templates, prompts, boards, or software-like materials we provide with an enrollment.

2. License Grant

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license for internal use by the purchasing business entity and its employees and contractors, only while the paid term is active.

Library access lasts for the paid advisory term stated at checkout or in the Client Service Agreement (for example a 6-month or 12-month engagement) and then ends.

3. Not a Sale

Access is a license, not a sale. We keep all intellectual property in The Demand File and related materials.

4. Restrictions

You may not:

• Resell, publish, or scrape the Files or library.
• Share a login or credentials.
• Reverse engineer the materials.
• Use the library to build a competing library.
• Use the Files for a different business than the one that enrolled.

5. Access & Suspension

Access is credentialed. We may suspend access for breach, chargeback, or nonpayment.

6. Updates

Updates are at our discretion. Features may change.

7. No Warranty of Results

There is no warranty that the Files will produce any particular commercial result. The library is provided as-is to the maximum extent permitted by law.

8. Third-Party Tools

Third-party tools named or linked in a File are not included and are not our products. The client remains responsible for those subscriptions and accounts.

9. Termination

Termination ends access. You must stop using copies except records you are legally required to keep.

10. Governing Law & Desk

This EULA is governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Venue is Charlotte, North Carolina.
